The rules governing access to and use of Decidian's website, platform, and services.
By accessing or using the Decidian website, intelligence platform, RAG + API services, or any related materials (collectively, the "Services"), you agree to be bound by these Terms of Use. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization.
The Services are intended for enterprise and professional use. You must be at least 18 years of age and legally able to enter into binding agreements.
Subject to these Terms and any executed order form or master agreement, Decidian grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
You will not (a) reverse engineer, decompile, or attempt to derive the underlying algorithms or model weights; (b) use the Services to violate law, infringe rights, or cause harm; (c) input information you are not authorized to share; (d) attempt to circumvent security, rate limits, or audit logging; or (e) use outputs to make autonomous decisions in domains requiring qualified human professionals without appropriate human review.
You retain all rights in content you submit. You grant Decidian a limited license to process that content solely to provide the Services and meet audit and replay obligations agreed in your engagement.
Decidian outputs are probabilistic decision-support artifacts. They are not legal, investment, medical, psychological, regulatory, accounting, valuation, or tax advice. Material decisions should involve qualified professionals. See our Disclaimer for further detail.
Each party will protect the other's confidential information using at least reasonable care and only use it to perform under these Terms or an executed agreement.
Decidian and its licensors retain all rights, title, and interest in and to the Services, including all software, methodology, and documentation. No rights are granted except those expressly set forth herein.
Where applicable, fees, billing terms, and payment obligations are set forth in the order form or master agreement governing your access. Taxes are your responsibility unless otherwise stated.
These Terms remain in effect while you use the Services. We may suspend or terminate access for material breach, security risk, or as required by law. Sections that by their nature should survive termination will do so.
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Decidian disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Decidian will not be liable for indirect, incidental, consequential, special, or punitive damages. Decidian's aggregate liability for direct damages will not exceed the fees paid for the Services in the twelve months preceding the claim.
You will defend and indemnify Decidian against third-party claims arising from your misuse of the Services or breach of these Terms.
These Terms are governed by the laws specified in your executed agreement, or otherwise by the laws of the State of Delaware, USA, without regard to conflict of laws.
We may update these Terms from time to time. Material changes will be communicated through the platform or to enterprise customers in writing.
